WAPIG Terms & Legal Notice

1. Introduction

This WAPIG Terms & Legal Notice governs your access to and use of the NaviTrade Energy Ltd. Weekly Achieved Pricing Index Graph – WAPIG Chart (the “WAPIG Indicator” or the “Index”).

By accessing, viewing, downloading, referencing or otherwise using the WAPIG Indicator, you acknowledge that you have read, understood and agree to be bound by this Legal Notice. If you do not agree, you must not access or use the WAPIG Indicator.

NaviTrade Energy Ltd. is a company incorporated in England & Wales, registered number 16848390, with its registered office at 167–169 Great Portland Street, 5th Floor, London, W1W 5PF, United Kingdom (“NaviTrade”, “we” or “us”).

2. Nature & Purpose of the WAPIG Indicator

The WAPIG Indicator is a proprietary, non-binding and indicative pricing reference created and published by NaviTrade. It is designed to provide a high-level view of achieved or indicated price levels on a periodic basis across selected petroleum products and routes, as determined solely by NaviTrade in its discretion.

• The Index is informational only and is not a firm quotation, executable level, or tradable price.
• The Index does not constitute a benchmark as defined under any benchmark regulation (including EU BMR and UK BMR), and is not administered as a regulated benchmark.
• The Index is not audited, certified, or validated by any exchange, regulator, or third-party pricing agency.

3. Data Sources & Methodology (High-Level)

The WAPIG Indicator may be derived from a combination of internal trading desk observations, bilateral discussions, non-binding indications, reported bids/offers, published assessments, and other market intelligence gathered by NaviTrade in the ordinary course of business.

NaviTrade makes reasonable efforts, acting in good faith, to ensure that the Index is compiled in a consistent, rational and commercially sensible manner. However:

• The methodology is proprietary and may be changed, suspended or discontinued at any time without notice.
• The underlying data may be incomplete, estimated, indicative, disputed or subject to reporting error or delay.
• No representation is made that the Index is complete, accurate, free from error, or reflective of prevailing market levels.

4. No Offer, No Recommendation, No Advice

The WAPIG Indicator is provided solely for general information. It does not constitute:

• an offer or invitation to buy or sell any commodity or security;
• a solicitation of any trading, hedging or financing transaction;
• a recommendation or endorsement of any price, strategy or structure;
• investment, legal, tax, accounting, risk-management or any other professional advice.

You remain solely responsible for your own commercial decisions, including verification of prices and execution terms with relevant counterparties and professional advisers.

5. Eligibility & Permitted Use

Access to the WAPIG Indicator is intended for professional or institutional users who understand the nature of indicative pricing and associated risks. By using the Index you confirm that you act in a professional or business capacity and not as a retail consumer.

You may:

• view the Index via NaviTrade’s website or other channels we approve;
• use the information internally for non-commercial, informational and analytic purposes;
• reference the Index in your internal analysis or reporting, provided it is clearly labelled as “NaviTrade WAPIG – non-binding indicative reference” or similar wording.

6. Prohibited Uses

Unless you have a separate, written licence agreement with NaviTrade, you must not:

• copy, reproduce, redistribute, resell, sub-license, publish or make the Index (in whole or in part) available to any third party;
• incorporate the Index into any index, benchmark, database, trading system, screen, platform or pricing service;
• use the Index as a reference for settlement, valuation, margining, collateral, accounting, regulatory reporting or contractual obligations;
• claim that NaviTrade endorses, sponsors or is a party to any transaction or structure referencing the Index;
• modify, reverse engineer, misrepresent, or create derivative works from the Index or its methodology.

7. Intellectual Property

The WAPIG Indicator, including all related names, charts, values, methodologies, documentation, branding and design elements, constitutes the exclusive intellectual property of NaviTrade Energy Ltd.

All rights, title and interest (including copyright, trade mark and database rights) are reserved. No licence is granted except as expressly set out in this Legal Notice.

8. Disclaimers & Limitation of Liability

The WAPIG Indicator is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, NaviTrade and its directors, officers, employees and agents:

• disclaim all warranties, representations or undertakings, express or implied, including without limitation any warranty of accuracy, completeness, fitness for a particular purpose, merchantability, non-infringement or availability; and
• do not accept any liability for any loss, damage, cost or expense (whether direct, indirect, consequential, special, punitive or otherwise) arising out of or in connection with any use of, or reliance on, the Index or any related information, even if advised of the possibility of such loss or damage.

Without limiting the above, NaviTrade shall not be liable for any trading losses, loss of profit, loss of business opportunity, loss of data, or business interruption resulting from your use of, or reliance upon, the WAPIG Indicator.

9. Suspension, Withdrawal & Changes

NaviTrade may, at any time and without prior notice:

• change the methodology, scope or presentation of the Index;
• correct, revise or restate any published values;
• suspend or withdraw publication of the Index, temporarily or permanently;
• restrict or revoke any user’s access to the Index.

NaviTrade is under no obligation to continue providing the WAPIG Indicator or to explain in detail any change or decision relating to its compilation.

10. Relationship with Other Documents

This Legal Notice applies in addition to any other terms, policies or notices published by NaviTrade on its website, including, where relevant, the Company Privacy Policy and KYC & Due Diligence Policy. In the event of conflict between this Legal Notice and any other general website terms, this Legal Notice will prevail in relation to use of the WAPIG Indicator.

11. Governing Law & Jurisdiction

This Legal Notice, and any non-contractual obligations arising out of or in connection with it, shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with the WAPIG Indicator or this Legal Notice, including any question regarding its existence, validity or termination.

12. Updates to this Legal Notice

NaviTrade may update or amend this WAPIG Terms & Legal Notice from time to time. The revised version will be effective when it is posted on this page with a revised “Last updated” date. You are responsible for reviewing this page regularly.
